By accessing or using the Neya service, you agree to be bound by these Terms of Service. If you do not agree to these Terms, you may not access or use the service.

2. Description of Service

Neya is an AI-powered community platform that connects neighbours and facilitates local communication and resource sharing. The service includes features for asking questions, receiving recommendations, and connecting with local community members.

3. User Accounts

To use Neya, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account and password
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

Our service is not directed to children under the age of 16. You may not create an account if you are under this age.

4. User Content

You retain ownership of any content you submit, post, or display on or through the service ("User Content"). By submitting User Content, you grant Neya a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your User Content in any existing or future media.

You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate the rights of any third party
• Your User Content complies with these Terms and all applicable laws

5. Being a good community member

Neya is built on mutual trust, kindness, and constructive local participation. By using our service, you agree to treat others with respect and empathy. We ask that you contribute in a way that fosters a welcoming, safe, and inclusive environment for everyone — including when giving feedback, asking for help, or sharing local knowledge. Repeated behaviour that undermines community trust may result in restricted access to the service.

6. Neya Content

All content provided by Neya — including messages, recommendations, summaries, and prompts generated by our AI — is offered for informational purposes only. While we aim to provide accurate, relevant, and useful content, we do not guarantee its correctness or applicability to every situation. Neya content is owned by us or licensed to us and may not be copied, redistributed, or republished without our permission. Users must not present Neya’s outputs as factual or professional advice without further verification.

When Neya acts as a moderator within a chat, it helps facilitate productive, respectful, and on-topic conversation. As part of this role, Neya may initiate or guide discussions, highlight unanswered questions, summarise group activity, and redirect or pause messages that are off-topic, duplicative, or disruptive. By participating in Neya-moderated groups, you agree to engage constructively and follow the group’s purpose and Neya’s guidance. Neya may limit visibility or intervene in cases of repeated spam, inappropriate content, or behaviour that hinders group participation. Group moderation by Neya is automated and designed to maintain a positive experience for all members.

7. Prohibited Conduct

You agree not to:

• Use the service for any illegal purpose
• Violate any laws in your jurisdiction
• Post or transmit harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable content
• Impersonate any person or entity
• Interfere with or disrupt the service or servers or networks connected to the service
• Attempt to gain unauthorized access to any part of the service
• Collect or harvest user data without permission

8. Intellectual Property

The service and its original content, features, and functionality are owned by Neya and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

9. Termination

We may terminate or suspend your account and access to the service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the service will immediately cease.

10. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the service will be uninterrupted, timely, secure, or error-free.

11. Limitation of Liability

In no event shall Neya, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
